Account and acceptance

These Terms & Conditions apply to your use of NZWholesale.co.nz, your approved trade account, quotations, purchase orders and every order accepted by NZ Wholesale (“we”, “us” or “our”).

  • Our store and trade pricing are intended for approved business customers.
  • You confirm that the person applying for an account or placing an order is authorised to act for the customer.
  • You must provide accurate account information and keep login details secure.
  • By applying for an account, logging in, accepting a quotation or submitting an order, you agree to these terms.

Orders, pricing and payment

An order is an offer to buy. It becomes binding when we issue an order confirmation, accept payment, or begin arranging the goods. Availability is subject to confirmation.

  • Prices shown through a trade account are customer-specific and must not be shared without our written permission.
  • Freight, customs, installation costs or other charges not included in the displayed price will be identified before confirmation where practicable.
  • Quantity pricing is based on the quantity ordered and confirmed. If an approved change reduces the quantity, we may recalculate the unit price using the applicable tier.
  • We may correct genuine pricing, description or stock errors before accepting an order. If payment has already been taken, you may approve the corrected order or receive a refund.
  • Payment must be made using the method and by the due date shown on the invoice or agreed for your account.

Delivery and inspection

Delivery dates are estimates unless we expressly agree otherwise in writing. Delays caused by suppliers, carriers, customs or events outside our reasonable control may occur.

  • You must provide a safe, complete delivery address and ensure an authorised person can receive the goods.
  • Please inspect every delivery promptly and keep all packaging while a delivery issue is being assessed.
  • Visible freight damage, missing cartons or incorrect goods should be reported as soon as reasonably practicable, preferably within two business days, with photographs and delivery details.
  • Signing a carrier document does not remove rights that cannot lawfully be excluded.

Special-order, overseas and discounted goods

Products ordered specifically for you may require advance payment and may have longer lead times. This includes custom-made, configured, private-label, indent, pre-order and overseas-stock goods.

  • Once we or our supplier has accepted a special order, it cannot be cancelled or returned because you changed your mind or ordered incorrectly.
  • Overseas-stock delivery dates are estimates and may be affected by production, shipping, customs and local transport.
  • Special-order, custom, overseas-stock, clearance, sale, discounted and final-sale goods are not returnable except where a remedy is required by law or we expressly agree otherwise in writing.
  • Product specifications, measurements and compatibility must be confirmed by you before the order is placed.

Returns and damaged goods

No change-of-mind returns

We do not accept returns merely because you no longer want the product, found another option, ordered the wrong product or quantity, or the product does not suit an application that was not confirmed with us in writing.

Goods damaged by the customer

A return, refund or replacement will not be available where damage or failure was caused by the customer or another person after delivery, including:

  • misuse, neglect, accident or abnormal operating conditions;
  • incorrect installation, wiring, assembly, maintenance or repair;
  • alteration, modification, removal of serial numbers or use contrary to instructions;
  • inadequate transport or storage after delivery; or
  • ordinary wear and tear.

Return approval is required

Do not send goods back without contacting us first. Any return accepted at our discretion must have a Return Authorisation, proof of purchase and be sent as instructed. Unless the goods are faulty or incorrectly supplied, approved goods must be unused, complete and in original saleable packaging. Acceptance of a return does not itself mean a refund has been approved.

Faulty or incorrectly supplied goods

If you believe goods were faulty, damaged before or during delivery, or supplied incorrectly, contact us promptly with the invoice number, product details, photographs and a description of the issue.

  • We may inspect or test the product before confirming a remedy.
  • Where permitted by law, we may repair the product, replace it, resupply it, provide a credit, or issue a refund.
  • Manufacturer warranty procedures and reasonable assessment timeframes may apply.
  • A warranty does not cover customer-caused damage, misuse, unauthorised repair, incorrect installation or normal wear and tear.

Product information and liability

We take reasonable care with product descriptions, images and specifications. Manufacturers may update products, packaging or specifications, and screen colours may differ from the actual product. You are responsible for confirming that a product is suitable and compatible for its intended business use.

To the maximum extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, loss of opportunity, or loss resulting from incorrect selection, installation or use. Any liability that cannot be excluded remains subject to applicable New Zealand law.

Account control and general terms

  • We may suspend or close an account for overdue payment, misuse, suspected fraud, unauthorised sharing of trade information, or a material breach of these terms.
  • We may update these terms from time to time. Updated terms apply to future orders from the date they are published or notified.
  • If one part of these terms is unenforceable, the remaining terms continue to apply.
  • These terms are governed by New Zealand law and the New Zealand courts have jurisdiction.
